The terms outlined here form the agreement between the Seller and No Lemons (No Lemons Solution FZ -LLC).

 

1. SELLER AND VEHICLE INFORMATION

The Seller agrees to provide all available information and knowledge concerning the vehicle’s condition,  usage, known issues, past and ongoing, upcoming maintenance requirements and ownership history as Seller’s Content.

The Seller understands that this information will form the basis of the description of the vehicle provided by the Company on the Platform on behalf of the Seller, for which the Seller is entirely responsible.

The Seller agrees to review, and in absence of inaccuracies or correction,  approves the description of the vehicle provided by the Company on the Platform on the Seller’s behalf.

The Seller fully and unconditionally releases and forever discharges No Lemons and its officers, directors, employees and agents from any and all claims, demands and damages arising out of or in any way connected with disputes between the Seller and a Buyer or their representative. Valid ID and vehicle registration, possession certificate or equivalent proof of ownership is required but will not be shared externally. 

 

2. SELLER'S RESPONSIBILITIES

By listing a vehicle on the Platform, the Seller undertakes and warrants to No Lemons and to the buyer:

 

• that the Seller is the owner of the vehicle or is duly authorised as an agent with a notarized and valid Power of Attorney (PoA) and identity for the owner to sell the vehicle. Where the Seller acts as an agent for the owner of the vehicle, these undertakings and warranties are given by both Seller and their principal.

 

• that the Seller sells the vehicle with full title guarantee free from all liens, mortgages, charges, encumbrances, and third- party claims;

 

• that the Seller (and any principal for whom they are acting) will complete any governmental or regulatory registration requirements necessary to complete a sale of the vehicle;

 

• that the Seller has provided all the information in their possession and knowledge about the vehicle, including ownership and service history, details of all faults and repairs, and any other information about to the history and condition of the vehicle;

 

• that neither the Seller, nor anyone associated with, acting with or acting under instruction from the Seller, will bid on any vehicle submitted by the Seller for sale on the Platform;

 

• that the Seller, nor anyone associated with, acting with or acting under instruction from the Seller, will not list or advertise the vehicle submitted by the Seller for sale on other platforms, website, or via brokers, agents or third parties during the auction or agreed upon sale period;

 

3. RESERVE (MINIMUM PRICE) & FEES

Sellers and No Lemons will agree upon a reserve amount indicating the minimum price at which the Seller will make a sale of the applicable vehicle (the “Reserve”) prior to listing the car.

The Seller may reduce the Reserve (during the course of or at the end of the auction by notifying a representative of NoLemons of such change).

At the end of the auction or sale period, No Lemons will share the highest offer. If the offer is below the reserve (minimum price) the Seller will not be obliged to accept the offer or pay any fees to No Lemons - unless agreed otherwise.

In the event the car is sold at auction or direct sale facilitated by NoLemons, a commission of 2% of the final sale price is due by the Seller to No Lemons. 

 

4. OTHER

Sellers may not cancel an auction or sale once announced. Sellers acknowledge that the No Lemons costs are incurred in arranging the consignment and listing of vehicles for sale and maintaining the Platform to facilitate such sales. Sellers may not withdraw a vehicle from sale once the Auction for that vehicle has gone live on the Platform.

Breach of the above undertakings by the Seller shall entitle the Company to cancel the relevant sale, ban the Seller from further use of the Platform. This Agreement shall be governed by the laws in force in England and Wales and subject to the jurisdiction of the courts of Dubai International Financial Centre Courts .
